General Terms and Conditions
- Lamsma Veldstra & Lobé is a partnership consisting of (private limited) companies ("practice firms"). A list of the members of the partnership will be provided on request.
- All assignments are accepted and carried out exclusively by the partnership Lamsma Veldstra & Lobé. The applicability of Articles 7:404 and 7:407 Paragraph 2 of the Dutch Civil Code is explicitly excluded.
- In engaging the services of third parties, Lamsma Veldstra & Lobé will make every effort to consult in advance with the client and will in any event exercise due care in the selection of third parties. Lamsma Veldstra & Lobé accepts no liability for failure on the part of these third parties. Lamsma Veldstra & Lobé is entitled to accept the limitation of liability as stipulated by third parties engaged by the partnership.
- Liability on the part of Lamsma Veldstra & Lobé is at all times limited to the maximum amount paid out in the matter under its professional liability insurance(s), increased by the excess to be borne by Lamsma Veldstra & Lobé under the terms of the insurance.
- Barring intent or gross negligence on the part of Lamsma Veldstra & Lobé, the client indemnifies Lamsma Veldstra & Lobé against all claims - including the relevant costs incurred by Lamsma Veldstra & Lobé - by third parties, which are in any way the result of or related to work carried out on behalf of the client by Lamsma Veldstra & Lobé.
- Unless agreed otherwise, the fee charged to the client will be calculated by multiplying the time spent by the applicable hourly rates. Lamsma Veldstra & Lobé reserves the right to make periodic changes to the fee in consultation with the client. Disbursements paid by Lamsma Veldstra & Lobé on behalf of the client will be invoiced separately. Fixed office costs (such as postage, telephone, fax and photocopies) will be charged in the form of a percentage of the fee. All stated amounts are exclusive of BTW (Dutch VAT).
- Invoices from Lamsma Veldstra & Lobé to the client will be paid within 14 days of the invoice date. In case overdue payment, the client will be regarded to be in default ipso jure and Lamsma Veldstra & Lobé will be entitled to charge the statutory interest in addition to all (extra)judicial collection costs.
- The stipulations of these Terms and Conditions are imposed also on behalf of the partners of Lamsma Veldstra & Lobé, the directors of the practice firms, as well as all parties employed at any time by or on behalf of the partnership.
- The legal relationship between Lamsma Veldstra & Lobé and the client is governed by Dutch law. Disputes will be submitted to the competent court of Rotterdam, on the understanding that Lamsma Veldstra & Lobé reserves the right to apply to another competent court.
- These General Terms and Conditions are available in both Dutch and English. The Dutch text shall prevail in the event of any differences (of interpretation).
These General Terms and Conditions have been filed with the court registry of the District Court of Rotterdam.
